Board of Directors

Donald Caldwell, Chairman
Mr. Caldwell joined the Profectus Board of Directors in June 2007 and assumed the role of Chairman in January 2008. He is currently Chairman and Chief Executive Officer of Cross Atlantic Capital Partners Inc. Based in Radnor, Pennsylvania, with additional offices in Ireland and the United Kingdom, Cross Atlantic manages four venture capital funds totaling $600 million.

Until March 1, 1999, he was President and Chief Operating Officer of Safeguard Scientifics, Inc. where he also previously served as Executive Vice President.  Prior to joining Safeguard in 1993, Mr. Caldwell held a number of executive and financial positions, including Chief Administrative Officer of a predecessor company of Cambridge Technology Partners, Inc. (Massachusetts), a provider of information technology consulting and software development; Executive Vice President and then President of Atlantic Financial; and as a partner in the national office of Arthur Young & Co., a predecessor to Ernst & Young, LLP.

Mr. Caldwell serves on several boards of publicly and privately held companies and civic organizations, including Diamond Management & Technology Consultants, Incorporated (NASDAQ); Quaker Chemical Corporation (NYSE); Voxware Incorporated (NASDAQ); Pennsylvania Academy of the Fine Arts (Chairman); and the Committee for Economic Development.

He is a CPA in the State of New York and holds a Bachelor of Science degree from Babson College and a master of business administration from the Graduate School of Business at Harvard University.

Joseph Berardino, Director
Mr. Beradino joined the Company as a Director in 2004, and served as its Chief Executive Officer from 2005 until January 2008. Prior to that, he was Chief Executive Officer of Andersen Worldwide, the global accounting and consulting firm known as Arthur Andersen.  Arthur Andersen had operations in 84 countries, annual revenues of $9 billion and more than 85,000 employees.

Mr. Berardino holds a B.S. in Accounting from Fairfield University and is a Certified Public Accountant.  In 2001, he received Fairfield University’s Beta Alpha Sigma award, as well as a Doctor of Law, Honoras Causa from the University of the East in the Philippines.  Mr. Berardino currently serves as Nonexecutive Chairman of Tao Group Limited, UK and on the Board of Trustees of Fairfield University.  He is a past-Director of the Foreign Policy Association and a past-member of the International Business Leaders’ Advisory Council for the Mayor of Shanghai, the International Advisory Board of the British American Business Council, the British American Business Inc. of New York and London, The Economics Club of Chicago, and the Parents Advisory Council of the McDonough School of Business at Georgetown University.

Stewart Greenebaum, Director
Mr. Greenebaum joined the Board in 2006 concurrent with his investment in the Company.  Mr. Greenebaum is President of Greenebaum and Rose Associates, a privately-held, full-service, real estate development and management company with offices in Washington, D.C. and Baltimore.  Mr. Greenebaum is past Chairman of the Board of the University of Maryland Medical System (UMMS), which also includes University Hospital, the State of Maryland’s Shock Trauma Center and the Marlene and Stewart Greenebaum Cancer Center. He is also past Chairman of the Board of Advisors for the Institute for Human Virology.

Mr. Greenebaum currently is one of five independent American directors of Hadassah Hospital in Jerusalem and he and his wife, in cooperation with Congressman Elijah Cummings, have funded and are chairs of a program that sends African-American high school students to Israel.  They also are founders of The Children’s House at John’s Hopkins, which provides lodging for families of children with life-threatening illnesses and where he also is Chairman of the Board.

Thomas Lynch, Director
Mr. Lynch joined the Board in 2006.  Mr. Lynch is the chairman, Chief Executive Officer and major shareholder of Amarin Corporation plc, an emerging biotech specialty pharmaceutical company, specializing in neurological diseases.  He is also a non-executive director of ICON plc, a clinical research company; IDA Ireland (an agency of the Irish government responsible for inward investment); Neuronyx Inc., (a company specialising in stem cell research); and Tripep AB (a Swedish company conducting research in Aids/HIV and Hepatitis.).  Mr Lynch was appointed to the board of IDA Ireland by the Irish government in December 2000 and was recently reappointed for a further five year term.  The IDA is responsible for promoting Ireland as a location for inward investment; give grants and other support and state aid, and manage a substantial property portfolio.

From 1993 to 2004, Mr. Lynch worked in a variety of capacities in Elan Corporation, plc.  From 1993 to 2001, he served as chief financial officer and executive vice-president; from 2001 to 2002 as vice-chairman; and from 2002 to 2004 as a senior advisor.  In 1994, Mr. Lynch founded a company which became Warner Chilcott, plc (having negotiated and financed the acquisition of the Warner Chilcott division from the Warner-Lambert Company in 1996.)  Mr. Lynch was a board member of that company from 1994 through 1999 and from then until 2002 as a director of Galen plc, which acquired Warner Chilcott in 1999.  Mr. Lynch was, from 1996 to 2000, a director of Nanogen Inc, a San Diego based company specialising in nano-technology based systems and diagnostics.  Over the past ten years, Mr. Lynch has been an advisory board member to a number of healthcare investment funds.

Shawn Patrick O’Brien, Director
Mr. O’Brien joined the Board in January of 2008 and also assumed the role of President and Chief Executive Officer of Profectus BioSciences Inc. at that time.  Mr. O’Brien has worked in the biopharmaceutical industry since 1983 and most recently served as President and Chief Executive Officer of Solstice Neurosciences, Inc., a private emerging biotech specialty pharmaceutical company, specializing in neurological diseases and movement disorders. During his tenure at Solstice, O’Brien built the business platform, increased US sales by 90 percent, opened the EU market with a new partner, secured key intellectual property, expanded the clinical development program and secured $ 85 million in private funding.

Previously, Mr. O’Brien worked with AstraZeneca USA as vice president of commercial operations for emerging brands, and as vice president and therapy area leader for the respiratory and inflammation business unit. As the business area leader, Mr. O’Brien was responsible for research and development, marketing and sales of the $ 1 billion US respiratory franchise. From 1987 through 2001, he held various management positions at AstraZeneca in global and domestic roles in the USA, Canada, and the UK. Earlier, he was with the Upjohn Company of Canada. He is a graduate of the University of Western Ontario.

Alexander Rich, M.D., Director
Dr. Rich joined the Board in 2004.  Dr. Rich currently serves as the William Thompson Sedgwick Professor of Biophysics and Biochemistry at the Massachusetts Institute of Technology, and has been a Professor at MIT since 1958.  Dr. Rich is also currently a Director of Alkermes, Inc. (NASDAQ “ALKS”), a company that he co-founded in 1987.  Dr. Rich is Co-Chairman of the Board of Repligen Corporation, and a member of the Scientific Advisory Board of Rosetta Genomics, Inc.  Dr. Rich has been a member of the National Academy of Sciences since 1970, and a Senior Member of the Institute of Medicine since 1990.  Dr. Rich holds an A.B. and an M.D. from Harvard University.

M.G. Sarngadharan, Ph.D., Director
Dr. Sarngadaharan is a Biochemist and Virologist who joined the Board in 2006.  He is former Vice President and Scientific Director of Advanced BioScience Laboratories, Inc. in Kensington, MD (1990-2005).  After conducting academic research for several years after graduation  (PhD. in Chemistry from Delhi University in 1966), Dr. Sargngadharan has spent most of his career in biotechnology.  He has led research into biochemical and immunological characterization of mammalian, especially human, retroviruses.  He has conducted epidemiological studies to establish etiological associations between human retroviruses and human diseases.  He has developed serological screening methods to detect and define patterns of the spread of etiologically significant retroviral agents among various populations.  Dr. Sarngadharan is a prolific author.  He was listed among the most cited authors of the 1980s, often with Dr. Gallo and his colleagues.  He is a fellow at the American Academy of Microbiology (1994) among many academic and professional honors.   

Frederick C. Tecce, Esq., Director
Mr. Tecce joined the Board in 2004.  Mr. Tecce currently serves as Managing Director and of counsel to Cross Atlantic Capital Partners, and of counsel to the law firm of Buchanan, Ingersoll & Rooney PC. In 1995, Mr. Tecce was appointed to serve on the Board of the Pennsylvania Public School Employees Retirement System, where he was Chairman of the Investment Committee for approximately six years. In 1967, Fred co-founded Lex Tex Ltd., which pioneered the texturing of synthetic fibers for use in apparel.  Over the years, Fred has co-founded or provided management assistance to a number of seed stage and emerging growth companies, including Militran Inc., one of the early Internet-based providers of employment services. Fred has also served on the Board of Visitors of the IHV, the Board of Directors of Mikros Systems Corp. (OTC “MKRS.OB”) and NutriSystem Inc. (Nasdaq “NTRI”), and as Chairman of the Executive Committee of the Eastern Technology Council.  Fred holds a B.A. from the University of Pennsylvania and a J.D. from the Dickinson School of Law of Pennsylvania State University.
